Terms of use.

These terms govern your use of the website at pimgate.ai and the PIMgate service. They apply between you and Netgen Switzerland AG. Use of the service under a separate signed agreement is governed primarily by that agreement; these terms apply where the signed agreement is silent.
1. The service
PIMgate is a multi-tenant SaaS platform that sits between a customer's Product Information Management (PIM) system and downstream channels — e-commerce, CMS, mobile apps, customer / supplier / sales portals. The service is operated by Netgen Switzerland AG, a company registered in Zurich, Switzerland.
We deliver the service from infrastructure located in the European Union and are subject to Swiss and EU data-protection law.
2. Acceptance
By visiting this website you accept these terms. By using the PIMgate service, your organisation accepts these terms in addition to any signed agreement. If you do not accept these terms, please do not use the website or the service.
3. Eligibility
PIMgate is a B2B service intended for organisations and their authorised representatives. By using the service, you confirm you have the authority to bind your organisation to these terms.
4. Acceptable use
You agree not to:
- Use the service for unlawful purposes or in violation of EU or Swiss law.
- Attempt to gain unauthorised access, probe, or interfere with the service or other tenants.
- Reverse-engineer, decompile, or extract source code, except where law permits.
- Resell, sublicense, or repackage the service without our written consent.
- Upload content that infringes third-party rights, contains malware, or breaches data-protection law.
- Send unsolicited commercial messages through the platform.
5. Customer data
You retain all rights to the data you upload to PIMgate. We process customer data only on your instructions and only to provide the service. A Data Processing Agreement (DPA) is signed at onboarding and forms an integral part of the contractual relationship.

6. Service availability
We aim for high availability but do not guarantee uninterrupted service unless a specific SLA is agreed in writing. Maintenance windows are announced in advance where possible. We are not liable for downtime caused by force majeure, third-party services, or events outside our reasonable control.
7. Fees and payment
Fees, billing cycles, and payment terms are set out in a separate signed agreement. Where no agreement exists, no fees are charged for viewing this website. Use of the service requires a contract.
8. Confidentiality
Both parties agree to treat each other's non-public information as confidential and to protect it with reasonable care. This obligation survives termination of the agreement.
9. Intellectual property
The PIMgate platform, including its source code, design, documentation, and brand, is and remains the property of Netgen Switzerland AG. You receive a non-exclusive, non-transferable right to use the service during the term of your agreement.
Customer data uploaded by you remains yours. By using the service, you grant us the limited rights necessary to host, process, and deliver that data on your behalf.
10. Liability
To the extent permitted by law, our total liability for any claim arising out of or related to the service is limited to the fees paid by you in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or incidental damages, including loss of profit, loss of data (where backup obligations have been met), or business interruption.
Nothing in these terms limits liability for intent, gross negligence, personal injury, or other liability that cannot be excluded under Swiss or EU law. Statutory consumer rights remain unaffected.
11. Termination
Either party may terminate the agreement in accordance with the signed contract. We may suspend or terminate access for material breach of these terms, with notice where reasonable. Upon termination, customer data is exported on request and then deleted in accordance with our data-retention practices and applicable law.
12. Changes to these terms
We may update these terms from time to time. Material changes are communicated to active customers at least 30 days in advance. Continued use of the service after the effective date constitutes acceptance of the revised terms.
13. Governing law and jurisdiction
These terms and any disputes arising out of or in connection with the service are governed by Swiss substantive law, excluding the United Nations Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Zurich, Switzerland.
EU consumers retain mandatory rights at their place of residence where applicable. Disputes with consumers may also be brought before competent courts at the consumer's domicile.
